The AbbVie Nxera deal gives AbbVie exclusive worldwide rights to develop and commercialise NXE0033744 in inflammatory bowel disease (IBD). The price is $100 million upfront, plus up to $1.37 billion in milestones and tiered royalties.

Nxera Pharma announced the licence on 4 November 2026. The agreement has been entered into, but it remains subject to antitrust clearances, including under the US Hart-Scott-Rodino Act. Completion had not been announced at the time of writing.

Under the AbbVie Nxera deal, AbbVie gets an oral, gut-targeted EP4 receptor agonist with a completed phase 1 programme. The release reports no efficacy data in IBD, so the central clinical question remains open.

What are the terms of the AbbVie Nxera deal?

Upfront, milestones and royalties

Nxera will receive a $100 million upfront payment. It is also eligible for up to an additional $1.37 billion in development and commercial milestones. Tiered royalties on net sales come on top.

The release on the AbbVie Nxera deal does not state a total value. The two disclosed sums add up to $1.47 billion, but most of that figure is contingent. It should not be read as the price paid.

Royalty rates and the split between development and commercial milestones were not disclosed. Christopher Cargill, Nxera’s President and CEO, also referred to “potential near-term milestone payments”, without giving an amount. The release names no financial or legal advisers.

Who holds which rights after the deal

The release describes an exclusive global licence to Nxera’s EP4 agonist programme, including NXE0033744. AbbVie’s stated rights to develop and commercialise the drug are worldwide, in IBD. The release describes no rights outside IBD, and no development or commercial rights kept by Nxera.

Nxera’s pipeline also lists a separate EP4 antagonist, NXE0039732, in immuno-oncology with Cancer Research UK. The licence announcement does not mention that programme.

What is NXE0033744, and what stage is it at?

Nxera describes NXE0033744 as an “investigational first-in-class, oral, small-molecule, GI-targeted EP4 receptor agonist”. The first-in-class label is the company’s own. The drug was designed with Nxera’s NxWave platform to act locally in the gastrointestinal tract while minimising systemic exposure.

Cargill said it is “designed to activate EP4 locally in the gut” to support epithelial barrier homeostasis and mucosal healing. Nxera, then named Sosei Group, announced first dosing in March 2024, when the compound was called HTL0033744.

What the phase 1 programme showed

The first-in-human programme comprised single and multiple ascending dose studies. It also included a cohort of patients with ulcerative colitis and an indomethacin challenge cohort. According to the release, results “supported a gut-restricted profile”. They also “demonstrated target engagement” through reduced indomethacin-induced intestinal permeability. The release adds: “No adverse events of concern were reported.”

Nxera’s May 2026 corporate presentation gives more detail, though not final results. It says six patients with ulcerative colitis completed dosing. It also cites a preliminary reduction of about 50 per cent in indomethacin-induced permeability, described as “highly significant”. The licence release gives neither figure.

Permeability in that challenge model speaks to target engagement. It is not a clinical efficacy result in IBD. The deck’s interim analysis of the ulcerative colitis cohort concerns gut tissue concentration, and it reports no efficacy data.

The ISRCTN registry record shows where the work was done. Nxera Pharma UK sponsors and funds the trial at Hammersmith Medicines Research in London. The MHRA approved it on 12 February 2024. The target enrolment was 220, with an overall end date of 30 June 2026.

That record, last updated on 25 March 2026, posts no results and withholds the drug name. Nxera’s deck supplies the link to NXE0033744. The March 2024 dosing announcement named patients with Crohn’s disease, while later documents describe an ulcerative colitis cohort. A search on 4 November 2026 found no explanation of that change.

Why did the parties agree the AbbVie Nxera deal?

Only Nxera has given a rationale so far. The release carries no AbbVie quote, and a search on 4 November 2026 found no separate AbbVie statement. AbbVie’s reasons therefore cannot be stated here.

Cargill called the agreement “a strong vote of confidence in NxWave’s ability to consistently deliver”. He described AbbVie as “the ideal partner”, citing its immunology expertise and global clinical development record. He also framed the next step as a test. AbbVie would “determine whether this biology can translate into measurable, life-changing outcomes for people with IBD”.

Nxera had not always planned to partner the drug. In November 2025 it announced a restructuring that cut about 15 per cent of jobs across Japan and the UK. Fierce Biotech reported at the time that Nxera was “pulling back from an EP4 agonist program in inflammatory bowel disease”.

According to Fierce Biotech, Cargill told a Jefferies conference: “We’re not going to put any further capital into this program.” He added: “We’re probably not the best company to be advancing this program further ourselves.”

By August 2026, Nxera was signalling a competitive licensing process. Its results briefing that month said: “Competitive process ongoing for a 2026 licence deal”.

The two companies also have history. In 2020, trading as Sosei Heptares, Nxera signed a discovery collaboration with AbbVie in inflammatory diseases. Their 2022 neuroscience discovery collaboration carries up to $40 million in near-term research milestones. It also carries up to $1.2 billion in option, development and commercial milestones.

What AbbVie already has in IBD

AbbVie reported third-quarter 2026 global net revenues of $5.776 billion for Skyrizi and $2.706 billion for Rinvoq. Those totals cover all indications, not IBD alone. The same release lists FDA approval of subcutaneous Skyrizi induction in Crohn’s disease.

AbbVie has also bought an oral IBD asset before. In March 2024 it agreed to acquire Landos Biopharma for $20.42 per share in cash, about $137.5 million. Each share also carried a contingent value right of up to $11.14, about $75 million in aggregate. That right depended on a clinical development milestone.

The lead asset, NX-13, was an oral NLRX1 agonist in phase 2 for ulcerative colitis. AbbVie completed that purchase on 23 May 2024. A search on 4 November 2026 did not establish the current status of NX-13. Nxera’s release does not say how NXE0033744 would fit alongside AbbVie’s other programmes.

When will the AbbVie Nxera deal close?

The release gives no expected closing date. Nxera’s revised forecast assumes completion by 31 December 2026, but that is a forecasting assumption rather than closing guidance. The stated condition is customary antitrust clearances, including under Hart-Scott-Rodino. No shareholder vote is mentioned.

What the licence does to Nxera’s forecast

Nxera expects to recognise the upfront as fourth-quarter 2026 revenue, subject to agreement with its auditors. The forecast assumes JPY 15,780 million from the payment, at an assumed JPY 157.8 per US dollar.

The revision replaces earlier ranges with single figures at their upper ends. Net sales are now JPY 48,800 million. Core operating income is JPY 22,800 million, and operating income is JPY 15,700 million. Nxera said the upper end of its previous forecast already included an estimated upfront from a new partnering deal.

How does the AbbVie Nxera deal compare with other IBD deals?

Gilead offers the nearest recent comparison. On 22 October 2026 it agreed to acquire the oral IL-23R inhibitor HCXT-2001 from PepStar Therapeutics. The price is $1.275 billion in upfront cash, subject to customary adjustments. Gilead said the phase 1 drug’s lead focus is IBD, and it expects closing in the fourth quarter of 2026.

The two transactions differ in structure and biology. Gilead is acquiring a programme against what it calls a clinically validated target. AbbVie is licensing what Cargill calls a “novel biological approach”. The two upfront figures are therefore not like for like.

Upfronts, milestones and royalties carry different risk, as this guide to biotech deal structure explains. Larger acquisitions this year are listed in the 2026 biotech M&A tracker.

There is also a UK dimension. The licensor is Nxera’s UK subsidiary, and the phase 1 trial ran in London. Nxera also lists operations in London and Cambridge. The release does not say where any phase 2 study would run.

AbbVie is also growing its own UK research base. Reuters reported in early November 2026 that AbbVie is expanding its Oxford research site. The expansion is part of a UK investment of more than £120 million. AbbVie’s announcement did not mention Nxera or IBD.

What to watch next

Antitrust clearance comes first, followed by any confirmation of completion. Nxera’s forecast rests on that happening by 31 December 2026. A statement from AbbVie would also help, because its reasons for the licence remain unstated.

The phase 2 plan is the next clinical marker. The release gives no start date, and it does not say whether ulcerative colitis or Crohn’s disease would lead. Full phase 1 results also matter. The registry defers full scientific details for up to 30 months after the trial ends.

For now, the AbbVie Nxera deal settles who holds the asset and on what terms. It does not yet show whether activating EP4 in the gut improves IBD.
